Terms of service
Last updated: October 30, 20261. Who these terms cover
These terms apply to your use of corectia.com and to consulting services provided by Ernesto Gavier, trading as Corectia (CUIT 20-41680065-1, Palenque 1268, Villa Allende, Córdoba, Argentina) (“we”), to business clients. Corectia serves businesses, not consumers. If you sign a proposal or statement of work with us, it forms part of these terms; if they conflict, the signed document controls.
2. How we work: closed-scope projects
We sell closed-scope projects (the Operations Audit and the Core Operations Sprint) and a monthly retainer (Fractional Ops). Before a project starts, you get a written scope with every deliverable, timeline and fee. Work outside that scope is discussed and agreed in writing before we start it. We do not bill by the hour. Information on this site is not a binding offer; fees and conditions are set only in the written scope. Delivery dates depend on you providing the access, information and feedback we ask for on time.
3. Audits and the sprint credit
We offer a paid audit as a first step. If you engage us for the sprint, with a signed scope, within 14 days after we deliver the audit report, we credit the audit fee against the sprint fee. After 14 days the credit expires. One audit fee can be credited once.
4. Fees and payment
Fees are stated in the written scope, in US dollars, and exclude taxes you owe. Audit: paid 100% upfront. Sprint: 50% to start and 50% on delivery. Fractional Ops: billed monthly, with a 3-month minimum. We accept ACH transfer, wire transfer, and cards through PayPal. You cover your bank’s transfer fees, so we receive the full invoiced amount.
Invoices are due 5 business days after we send them. Late payments carry a one-time surcharge on the overdue amount, based on how late the payment is: 5% if paid 1 to 5 days late, 10% if 6 to 15 days late, and 20% if 16 to 30 days late. A higher tier replaces the lower one; they do not add up. If an invoice is more than 30 days overdue, we may stop work and end the service.
5. Cancellation and refunds
If you cancel, we refund according to the work already done. Audit: we refund 50% of the audit fee if we have not started work on your audit. If we have started, there is no refund and we deliver the audit to you. Sprint: the first 50% payment is not refundable. If you cancel before the sprint is finished, nothing more is owed, unless you cancel in the last 14 days before the scheduled end of the sprint, in which case the remaining 50% is also owed. Fractional Ops: after the 3-month minimum, you may cancel with 30 days’ notice.
6. Your responsibilities
You will give accurate information and the access we need, and you confirm you have the right to share it with us. You are responsible for decisions you make based on our recommendations.
7. Ownership and confidentiality
Deliverables belong to you once you have paid in full. We keep a copy of everything we build for you, for security, tracking, and to recover information if it is lost, and we keep it confidential. Corectia keeps its own tools, templates and know-how. Each side keeps the other’s non-public business information confidential and uses it only for the project. This does not apply to information that is public, that the other side already had, or that the law requires to be disclosed. We may use third-party software, including AI tools, to prepare deliverables. We configure them so that your non-public business information is not used to train their models where the provider offers that option.
8. No guarantee of results
We provide professional services with reasonable care. Every sprint includes 14 days of adoption support after delivery: we answer your team’s questions about the deliverables and hold up to two extra training calls beyond those agreed in the written scope. This is what our site calls the Adoption Guarantee. We do not guarantee specific business results, revenue, rankings or ad performance.
9. Limitation of liability
Corectia provides advisory and implementation services and does not provide legal, tax, accounting or financial advice. To the extent the law allows: (a) neither side is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, revenue or data; and (b) Corectia’s total liability for any claim related to a project is limited to the fees you paid for that project in the 12 months before the claim (for Fractional Ops, the fees paid in the 3 months before the claim). These limits do not apply to liability the law does not allow us to limit, to fraud or willful misconduct, or to your duty to pay fees.
10. Independent contractor
Corectia acts as an independent contractor. Nothing creates an employment, partnership or agency relationship.
11. Use of the website
You may use the site to learn about our services and contact us. Do not misuse it, attempt to break its security, or copy its content for resale. Site content belongs to Corectia, is provided as is, and Corectia may change or remove it at any time. Links and embedded tools from third parties (such as Cal.com and YouTube) are governed by their own terms, and we are not responsible for them.
12. Privacy
Our Privacy Policy explains how we handle personal information. It is part of these terms.
13. Governing law and disputes
These terms are governed by the laws of the Argentine Republic. If a dispute arises, we will first try in good faith to solve it by talking for 30 days. If we cannot, the dispute will be decided by the ordinary courts of the City of Córdoba, Province of Córdoba, Argentina, and both sides waive any other jurisdiction. As the only exception, Corectia may also claim unpaid invoices in the courts where you are located.
14. Changes and contact
We may update these terms by posting a new version and changing the date above. Changes do not alter a signed statement of work already in progress. If a part of these terms is not enforceable, the rest still applies. Questions: [email protected].
